Cofound is a software-as-a-service platform operated by LeapVision Technologies Inc. ("Cofound," "we," "us," or "our"), based in Canada.
Cofound gives you access to a team of AI agents that help you brainstorm, build, launch, and operate a software company. The agents write code, create content, set up integrations, and run ongoing work (content, ads, community, support) on your behalf.
What Cofound is not:
You are the founder and operator of your company. Cofound is a tool you use to build and run it.
To use Cofound you must:
Cofound is a single-user platform for solo founders. You may not share your account with another person, add seat-holders, or resell access to Cofound.
Cofound is sold as a monthly subscription. Each plan includes a weekly sprint of AI work sized to your tier. A sprint is a defined allocation of AI agent capacity (compute, model time, and task execution). You never see raw token counts; you see a sprint.
Current plan tiers and their prices are displayed on the pricing page at the time of purchase and govern.
Unused sprint capacity from any given week rolls over to the following week within the same calendar month. Unused capacity does not roll over to the next month. There are no refunds for unused sprint capacity.
When your weekly sprint capacity is exhausted before the week ends, your sprint refreshes at the start of the next week. The platform will show you how many days remain until your next sprint. No additional capacity will be provided mid-sprint outside of a plan upgrade.
Your subscription renews automatically at the end of each billing period (monthly) at the then-current rate unless you cancel before the renewal date. You authorize us to charge your payment method on file at renewal.
We will send you an email at least seven (7) days before any price increase takes effect on your next renewal.
You may cancel your subscription at any time from your account settings. Cancellation stops your next renewal charge. You retain access to the platform until the end of your current paid period.
Upon cancellation, your data is retained for thirty (30) days to give you time to export it. After thirty (30) days, all your data is permanently deleted. See Section 9 (Data Handling) for details.
Remaining sprint capacity at cancellation is not refunded.
Cofound does not offer refunds for subscription fees paid or unused sprint capacity, except as required by applicable law. If you believe you were charged in error, contact us at hello@buildwithcofound.com.
You may use Cofound only for lawful purposes and in compliance with these terms. By using Cofound you agree that you will not:
Build, operate, or use Cofound to facilitate any product or service that is illegal in your jurisdiction or the jurisdiction of your users. This includes but is not limited to: illegal marketplaces, fraud tools, money laundering tools, and products that violate securities laws.
Use Cofound to create, distribute, or operate:
Build products that infringe on third-party intellectual property, including piracy tools, warez distribution platforms, or tools designed to circumvent digital rights management.
Cofound's AI agents run on third-party large language models. You must comply with applicable LLM provider usage policies when using Cofound. You may not use Cofound to circumvent the safety guardrails of any third-party LLM provider.
We reserve the right to suspend or terminate your account immediately, without notice and without refund, if we determine you have violated this Section. We may also report violations to applicable law enforcement authorities.
Cofound's agents use large language models to generate code, content, legal text, financial projections, marketing copy, and other outputs. These outputs are probabilistic. They may contain errors, omissions, outdated information, insecure code, legally inaccurate text, or outputs that are not fit for your specific purpose.
You are solely responsible for:
Cofound does not guarantee that any AI-generated output is accurate, complete, secure, legally compliant, or fit for any particular purpose. Cofound is not liable for any damages arising from your reliance on AI-generated outputs without independent review.
Cofound uses third-party large language models to power its AI agents. We may add, change, or remove LLM providers at any time; we will update the sub-processor list in our Privacy Policy and notify you before activating any new provider that will process your personal data.
When you use Cofound, your prompts and conversation content are sent to third-party LLM providers for inference. By using Cofound, you consent to this data flow. See our Privacy Policy for details.
Cofound is not responsible for outages, service interruptions, or degraded performance of any third-party LLM provider.
Cofound is a platform and a tool. We are not a participant in your business, and we are not responsible for the outcomes of your business.
You are solely responsible for:
Nothing in these terms creates a partnership, joint venture, fiduciary duty, or employment relationship between you and Cofound.
You own all code, content, data, and other outputs generated by the Cofound AI team during your subscription. This includes: code written for your product, copy and marketing content, configurations, database schemas, and any other work product produced on your behalf.
Cofound retains no license to your outputs after the subscription ends. We do not claim ownership of your product, your company, or your intellectual property.
Cofound owns:
You may not copy, reverse-engineer, or distribute any of the above.
Some outputs your AI team produces may incorporate open-source libraries, fonts, or other third-party assets. The agents will use permissively licensed open-source dependencies (MIT, Apache 2.0, ISC, and similar) by default. You are responsible for reviewing the licenses of any third-party code included in your product and ensuring your use complies with those licenses.
If you provide feedback, suggestions, or ideas to Cofound, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the platform. We will not identify you publicly as the source of any feedback without your permission.
When you use Cofound, we store:
We use third-party services to operate the platform. A complete list of sub-processors and the data each receives is in our Privacy Policy. By using Cofound, you consent to data being shared with these processors as necessary to operate the service.
Our Privacy Policy contains the full detail on data collection, use, retention, and your rights under PIPEDA and other applicable privacy laws. The Privacy Policy is incorporated into these terms by reference.
When you connect a third-party service to Cofound, the following applies:
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Any dispute arising from or relating to these terms or your use of Cofound will be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.
PIPEDA applies to Cofound's handling of personal information. For privacy-related disputes, please contact us first at privacy@buildwithcofound.com before pursuing formal legal action.
To the maximum extent permitted by applicable law:
12.1 Cap on damages. In no event shall Cofound's total aggregate liability to you for any claim arising from or relating to these terms or your use of the service exceed the total amounts you paid to Cofound in the twelve (12) months immediately preceding the event giving rise to the claim.
12.2 No consequential damages. Cofound is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: lost profits, lost revenue, lost data, lost business opportunities, cost of substitute services, or damages arising from your reliance on AI-generated outputs, regardless of whether Cofound was advised of the possibility of such damages.
12.3 Exceptions. Some jurisdictions do not allow the exclusion or limitation of certain categories of damages. In those jurisdictions, the limitations above apply to the fullest extent permitted by law.
The platform is provided "as is" and "as available." To the maximum extent permitted by applicable law, Cofound disclaims all warranties, express or implied, including:

You agree to indemnify, defend, and hold harmless Cofound and its officers, directors, employees, contractors, and agents from any claim, damage, loss, liability, or expense (including reasonable legal fees) arising from:
We may update these terms from time to time. For material changes we will post the updated terms at buildwithcofound.com/terms and send you an email notice to the address on your account at least thirty (30) days before the changes take effect.
If you continue using Cofound after the effective date of a material change, you accept the updated terms. If you do not agree with a change, you may cancel your subscription before it takes effect.
16.1 Entire agreement. These terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between you and Cofound regarding the service.
16.2 Severability. If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
16.3 No waiver. Our failure to enforce any provision of these terms does not constitute a waiver of our right to enforce it in the future.
16.4 Assignment. You may not assign or transfer your account or any rights under these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of substantially all of our assets.
16.5 Force majeure. We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to: LLM provider outages, third-party infrastructure failures, natural disasters, or government action.
